Terms of Service

Please read these Terms carefully. They set out the rules for using Kowl and the rights and responsibilities of you and Kowl SAS.

1. Acceptance of these terms

These Terms of Service (“Terms”) form a binding agreement between you and Kowl SAS, Paris, France (“Kowl”, “we”) governing your access to and use of the Kowl Manager platform, Kowl One and the kowl.tech website (the “Services”). By creating an account or using the Services you accept these Terms and our Privacy Policy. If you use the Services for an organisation, you confirm you have authority to bind it. If you do not agree, do not use the Services.

2. The Services

Kowl provides analytics, scoring, alerts, reporting and assistant tools that help music professionals track the performance of artists and releases using public data from third-party platforms. We may improve, modify or discontinue features, giving reasonable notice of material changes that reduce paid functionality.

3. Eligibility and accounts

The Services are for business use by persons aged 18 or over. You must provide accurate information, keep your credentials confidential, and are responsible for all activity under your account. Tell us promptly at contact@kowl.tech if you suspect unauthorised access.

4. Plans, free trial and payment

• Free trial — where offered, a trial gives access to the Services for the stated period. We will tell you before any paid period begins.
• Subscriptions — paid plans are billed in advance for the chosen period, in the currency and at the price shown at checkout or in your order form, exclusive of VAT unless stated. Subscriptions renew automatically unless cancelled before the renewal date.
• Cancellation — you can cancel at any time; the cancellation takes effect at the end of the current billing period. Except where the law provides otherwise, fees already paid are non-refundable.
• Changes to prices — we will give at least 30 days’ notice of any price change, which applies from your next renewal.

5. Acceptable use

You agree not to:

• use the Services unlawfully or in breach of these Terms or of third-party platform terms;
• scrape, copy, resell, sublicense or redistribute the Services or the data they provide, or use them to build a competing product;
• attempt to access private data, bypass access controls or rate limits, probe or disrupt the Services, or introduce malware;
• use data obtained through the Services to harass, profile or make automated decisions with legal or similarly significant effects on individuals;
• misrepresent your identity or share your account with people outside your organisation.

6. Third-party platforms

The Services display data from third-party platforms such as Spotify, Instagram, YouTube and TikTok, and may let you connect accounts on them. Those platforms are independent of Kowl; your use of them is governed by their own terms and privacy policies, including TikTok’s Terms of Service where TikTok is concerned. Kowl is not affiliated with, endorsed by or sponsored by these platforms, and their names and marks belong to their owners. Their data and APIs may change or become unavailable, and we are not liable for such changes. You can revoke any connection at any time.

7. Your data

You keep all rights in the data you provide (“Customer Data”). You grant Kowl a limited licence to host and process it solely to provide the Services to you. Our handling of personal data is described in the Privacy Policy, and where we process personal data on your behalf we will do so under a data processing agreement on request.

8. Intellectual property

Kowl and its licensors own all rights in the Services, including software, scores, models, designs, the KOWL name and logotype. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription, in accordance with these Terms. Reports and exports you generate may be used for your internal business purposes. If you send us feedback, we may use it freely without obligation to you.

9. Confidentiality and security

Each party will protect the other’s non-public information with at least reasonable care and use it only to perform these Terms. We apply the technical and organisational measures described in our Privacy Policy to protect Customer Data.

10. Availability and support

We aim to keep the Services available but do not guarantee uninterrupted or error-free operation; maintenance, third-party outages and events beyond our control may affect availability. Support is provided through contact@kowl.tech.

11. Disclaimers

Scores, forecasts and insights are provided for information only and rely on third-party data we do not control. To the fullest extent permitted by law, the Services are provided “as is” and “as available”, without warranties of accuracy, completeness or fitness for a particular purpose, and you are responsible for the business decisions you take using them.

12. Limitation of liability

To the extent permitted by law, Kowl is not liable for indirect or consequential loss, loss of profits, revenue, data or goodwill, and its total liability arising from the Services in any 12-month period is limited to the fees you paid in that period. Nothing in these Terms excludes liability that cannot be excluded by law, including for death or personal injury, fraud or gross negligence. If you are a consumer, your statutory rights are unaffected.

13. Indemnity

You will indemnify Kowl against third-party claims arising from your breach of these Terms or your unlawful use of the Services, to the extent permitted by law.

14. Suspension and termination

You may stop using the Services and close your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Services in a way that creates legal or security risk, giving notice where reasonably possible. On termination your right to use the Services ends; we will let you export your Customer Data for 30 days and then delete it as set out in the Privacy Policy. Provisions that by nature should survive termination will do so.

15. Changes to these Terms

We may update these Terms. We will change the date above and give at least 30 days’ notice of material changes by email or in the product. Continuing to use the Services after the effective date means you accept the updated Terms; if you do not, you may cancel before then.

16. Governing law and disputes

These Terms are governed by French law. Subject to mandatory consumer protections, the courts of Paris, France have exclusive jurisdiction. Before bringing a claim, please contact us so we can try to resolve it informally.
